La société anonyme est la forme juridique la plus répandue en Suisse. La société anonyme ne peut être fondée que par un acte authentique fait devant un notaire. Il est donc obligatoire de recourir à cet officier public. La gestion de la société anonyme est confiée au conseil d’administration. La Société anonyme doit avoir un but social pour décrire l’activité commerciale de la SA.

Avocate, lic. iur., LL.M., Avocate spécialiste FSA droit du travail Simone Wetzstein is Co-Head of our Employment Law Team and a partner. She advises national companies, international groups as well as private individuals on all aspects of employment law, in particular in connection with the drafting of employment contracts, compensation models, the termination of employment relationships and in the context of restructuring projects (transfers of undertakings, mass redundancies, etc.). In addition, Simone Wetzstein has many years of expertise in questions of personnel leasing/staffing agencies and obtaining work and residence permits. Simone Wetzstein also advises in the context of social security law issues related to employment law and represents parties in court. Finally, a particular focus of Simone Wetzstein’s work is on issues relating to various forms of discrimination and gender equality law. Simone Wetzstein was supported by the Swiss Study Foundation during her studies, studied at the Universities of Zurich and Haifa, Israel (lic. iur. Zurich 2010), was admitted to the bar in 2013 and is a Certified Specialist SBA Employment Law. As a Fulbright Scholar, she complemented her education at Columbia Law School in New York, where she graduated in May 2017 with an LL.M. focusing on discrimination law issues and mediation. At ZHAW, she teaches as part of the CAS Legal Influencing Factors & HR Simone Wetzstein has been working for Walder Wyss as a lawyer since 2013. Prior to this, she worked as a trainee lawyer in a major law firm in Zurich and at the Administrative Court of Aarau. Simone Wetzstein was also responsible for the management of the Winterthur Music Festival for many years. Simone Wetzstein practices in both German and English and also speaks French and Hebrew. She is registered with the Zurich Bar Registry and admitted to practice in all of Switzerland.
